PITZ Platform Terms and Conditions of Use

1. CONTRACTUAL RELATIONSHIP

These Terms and Conditions (the "Terms") govern the access to and use by any person (hereinafter, the "User") of the PITZ digital platform, from within the United Mexican States. The platform consists of a mobile application and a website, available at www.pitz.com.mx (the "Platform"), operated by PITZ AUTOMOTIVE TECHNOLOGIES, S.A.P.I. DE C.V. ("PITZ"), a commercial company organized under Mexican law, domiciled in Mexico City.

Accessing or using the Platform constitutes the User’s full and unreserved acceptance of these Terms. If the User does not agree with the Terms, the User must refrain from using the Platform and the services offered by PITZ.

2. DEFINITIONS

  • Customer: A User who purchases services, plans, or features within the PITZ Platform.
  • Seller: An individual or legal entity that offers products or services through the PITZ Platform.
  • PITZ Services: The commercial intermediation, digital management, and plan-subscription features provided by PITZ through its Platform.
  • Platform: The web and mobile application owned by PITZ, including all software, interfaces, trademarks, content, and databases.
  • Account: The individual profile registered by the User to access and use the Platform’s services.
  • Personal Data: Information that identifies, or makes identifiable, a natural person.
  • Payment Gateway: A service that enables payments to be made through secure technology platforms via electronic means, without PITZ directly handling the flow of funds.

3. LEGAL NATURE

These Terms constitute a commercial adhesion contract between the User and PITZ, under which the User is authorized to access and use the Platform subject to the terms set forth herein.

4. PURPOSE

PITZ provides a digital Platform that allows Customers to acquire technology features through subscription plans, and allows Sellers to offer products and/or services under commercial intermediation models. PITZ facilitates the connection between both parties without taking part in the sale-and-purchase contractual relationship between Customers and Sellers.

5. MODIFICATION

PITZ may modify these Terms at any time and without the need for prior consent, by notifying the User through publication on the Platform. Continued use of the Platform by the User shall constitute acceptance of the modifications.

6. LICENSE TO USE

PITZ grants the User a limited, revocable, non-exclusive, and non-transferable license to use the Platform in accordance with these Terms. This license does not entail the assignment of any intellectual property right.

7. REGISTRATION AND ACCOUNT

To use the Services, the User must create an Account by providing truthful, complete, and up-to-date information. The User is responsible for keeping their access credentials confidential. PITZ reserves the right to suspend or cancel accounts that engage in fraudulent conduct or conduct contrary to the law.

8. PLANS AND CONSIDERATION

PITZ Services are subject to subscription plans (free or paid), the specific conditions, features, fees, payment methods, and restrictions of which are available on the Platform and/or in the corresponding Exhibits. Timely payment thereof is an essential condition for the continuity of the service.

9. USER OBLIGATIONS

The User agrees to:

  1. Use the Platform in accordance with the law and these Terms
  2. Not use it for unlawful purposes or purposes contrary to morality
  3. Refrain from altering, copying, decompiling, or damaging the Platform’s software
  4. Not impersonate others or falsify information
  5. Keep their Account up to date
  6. Timely pay any fee associated with their contracted plan

10. LIMITATION OF LIABILITY

PITZ does not guarantee the continuous availability of the Platform and is not responsible for interruptions resulting from technical failures, maintenance, or force majeure events. The relationship between Customers and Sellers takes place independently, and PITZ assumes no responsibility for the quality, performance, or legality of the products and services offered by third parties.

11. INTELLECTUAL PROPERTY

All rights over the Platform, its components, software, logos, databases, and content belong to PITZ or its licensors. Any use that is not authorized or not expressly permitted by PITZ is prohibited.

12. PERSONAL DATA

PITZ may carry out domestic or international transfers of the User’s personal data, only in cases permitted by applicable law and while ensuring an adequate level of protection at all times. Transfers will be made to third-party providers that collaborate in the operation, development, or maintenance of the Platform, and only when such transfers are necessary to fulfill the purposes set out in the Privacy Policy.

Withdrawal of Consent

The User may withdraw, at any time, the consent given for the processing of their personal data, by submitting a written request to legal@pitz.com.mx, in accordance with the terms established by applicable law. Such withdrawal may result in the inability to continue using the Platform’s services, in whole or in part.

The processing of the User’s Personal Data is carried out in accordance with PITZ’s Privacy Policy, available at www.pitz.com.mx/privacidad.

Exercise of ARCO Rights

The User may exercise, at any time, their rights of Access, Rectification, Cancellation, and Objection ("ARCO Rights"), as provided under Mexico’s Federal Law on the Protection of Personal Data Held by Private Parties, by submitting a written request to legal@pitz.com.mx, addressed to PITZ’s Personal Data Department. The request must include:

  1. The full name of the data subject
  2. An official document proving their identity or, where applicable, their legal representation
  3. A clear and precise description of the personal data with respect to which any of the rights is being exercised
  4. Any other element or document that facilitates locating the personal data

Once the request is received, PITZ will have a period of 20 (twenty) business days to notify the User of the determination made. Where the request is granted, it will be carried out within the 15 (fifteen) business days following the date on which the response is communicated. These periods may be extended once, for an equal period, provided the circumstances of the case justify it. The exercise of ARCO Rights is free of charge, without prejudice to the User having to cover any justified shipping or reproduction costs of the requested information.

13. CANCELLATION AND REFUNDS

Users may request the cancellation of their subscription in accordance with the procedures set forth on the Platform. Where applicable, the refund terms specified for each plan or transaction will apply, without prejudice to the rights established under Mexico’s Federal Consumer Protection Law.

14. MISUSE AND ACCOUNT SUSPENSION

PITZ may suspend or cancel access to the Platform for Users who engage in misuse, conduct contrary to the law, conduct that affects the operation of the Platform, or conduct that infringes the rights of third parties.

15. GOVERNING LAW AND JURISDICTION

This document shall be governed by the laws of the United Mexican States. For any dispute arising from its interpretation or performance, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other forum that may otherwise apply to them.

16. EXPRESS ACCEPTANCE

The User declares to have read, understood, and accepted these Terms and Conditions, and agrees to comply with them in full from the moment the User accesses or uses the PITZ Platform.
