If you use the Platform on behalf of a business, you confirm that you are authorized to accept these Terms on its behalf.

2. Our Services

PITZ provides technology solutions for the automotive aftermarket, including business software, marketplace services, product information, and AI-powered tools.

Some services may be subject to additional agreements, such as subscription agreements or seller terms. If those agreements conflict with these Terms, the additional agreements will apply to the relevant service.

3. Accounts and Eligibility

You must be at least 18 years old to use the Platform, unless otherwise permitted by law.

You agree to provide accurate account information, protect your login credentials, and notify us of unauthorized access to your account. You are responsible for activity conducted through your account.

4. Acceptable Use

You agree to use the Platform lawfully and responsibly. You may not use it to commit fraud, violate another person's rights, distribute malicious software, access data without authorization, or interfere with the Platform.

You may not copy, reverse engineer, resell, or misuse PITZ's technology without authorization. Sellers may not list counterfeit, stolen, unsafe, or illegal products.

We may restrict or suspend access if you violate these Terms or applicable law.

5. Business Services and Customer Data

PITZ may offer software subscriptions and other services to businesses. Applicable pricing, billing, support, and cancellation terms will be provided through the Platform or a separate agreement.

You retain ownership of the data you submit to PITZ (“Customer Data”). You authorize PITZ to process Customer Data as necessary to provide, maintain, secure, and improve the services, in accordance with applicable agreements and privacy laws.

You are responsible for ensuring that you have the rights and permissions necessary to provide Customer Data to PITZ.

6. Marketplace

The Platform may allow third-party sellers to offer products to buyers.

Unless expressly stated otherwise, PITZ acts as a technology platform and is not the seller or manufacturer of products offered by third parties. Sellers are responsible for their products, listings, pricing, shipping, warranties, returns, refunds, and compliance with applicable laws.

PITZ does not guarantee the accuracy of product listings or the performance of sellers. Buyers should review product information and applicable seller policies before purchasing.

Sellers must provide accurate information and comply with applicable verification and disclosure requirements.

7. AI and Automotive Information

The Platform may provide AI-generated content, product recommendations, and vehicle or parts compatibility information. Such information may be inaccurate, incomplete, or outdated.

You are responsible for independently verifying vehicle details, part numbers, compatibility, manufacturer specifications, and safety requirements before purchasing, installing, or recommending a product.

PITZ does not guarantee the accuracy or suitability of AI-generated outputs or automotive recommendations.

8. Payments, Subscriptions, and Refunds

Applicable prices and fees will be disclosed before purchase or in the relevant agreement. Payments may be processed by PITZ or third-party payment providers.

Subscriptions may renew automatically as disclosed at purchase. You may cancel future renewals using the available cancellation method. Refunds are subject to the applicable policy and mandatory legal rights.

For Marketplace purchases, returns, shipping, warranties, and refunds are generally governed by the applicable seller's policies unless PITZ expressly states otherwise.

9. Intellectual Property and Content

PITZ or its licensors own the Platform, including its software, technology, branding, and related content. You may not use PITZ's intellectual property without permission.

You retain ownership of content you submit to the Platform. You grant PITZ a non-exclusive, worldwide, royalty-free license to use that content as necessary to operate and provide the services.

You must have the rights necessary to submit your content, and it must not violate applicable law or third-party rights.

10. Privacy and Third-Party Services

Our Privacy Policy and Cookie Policy explain how we handle personal information.

The Platform may include third-party services or links. PITZ is not responsible for third-party websites, products, services, or policies.

We use reasonable safeguards to protect the Platform, but no system can be guaranteed to be completely secure.

11. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the Platform and its content are provided “AS IS” and “AS AVAILABLE.” PITZ does not guarantee uninterrupted service, error-free operation, accurate information, compatible products, or the quality or safety of third-party products.

To the maximum extent permitted by law, PITZ will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities.

PITZ's total liability arising from or relating to the Platform or these Terms will not exceed the greater of the amount you paid PITZ for the applicable service during the preceding 12 months or USD $100.

Nothing in these Terms limits liability that cannot legally be excluded or restricted.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless PITZ and its affiliates, officers, employees, and representatives against claims, losses, and reasonable legal expenses arising from your violation of these Terms, unlawful use of the Platform, infringement of third-party rights, or products you sell through the Marketplace.

13. Suspension and Termination

We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, engage in fraud, or create legal or security risks.

Upon termination, your right to use the affected services ends. Provisions that by their nature should survive termination will remain in effect.

14. Disputes and Governing Law

Before initiating formal proceedings, you and PITZ agree to attempt to resolve disputes informally.

To the extent permitted by law, disputes will be resolved through individual binding arbitration administered by the American Arbitration Association. Eligible small-claims cases and requests for urgent legal relief may be brought in court. Applicable consumer rights that cannot legally be waived remain unaffected.

These Terms are governed by Delaware law, except where applicable law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Platform, by email, or by another reasonable method. The updated Terms will take effect on the stated effective date.
